Mota\u2011Engil 2025\u20112030 Sustainability-Linked Bond Issue<\/span> (\u201cMota\u2011Engil 2030 Bonds\u201d)<\/span><\/h3>\n

Mota\u2011Engil, SGPS, S.A. (\u201cMota\u2011Engil\u201d) is proceeding with the issuance of Mota\u2011Engil 2030 Bonds, with a fixed annual interest rate of 4.50%*, a unit nominal value of \u20ac500, and an initial total nominal amount of up to \u20ac50,000,000, which may be increased at Mota\u2011Engil\u2019s option until 15 May 2025, inclusive, through the publication of an addendum to the prospectus approved by the CMVM and made available at www.cmvm.pt, www.mota-engil.com, and other locations where the prospectus is available. This is part of the launch of (i) a public subscription offer (\u201cSubscription Offer\u201d); and (ii) a public exchange offer directed at holders of bonds representing the bond loan named \u201cMota\u2011Engil 2021\u20112026 Sustainability-Linked Bonds\u201d with ISIN PTMENYOM0005 (\u201cMota\u2011Engil 2026 Bonds\u201d) (\u201cExchange Offer\u201d and, together with the Subscription Offer, the \u201cOffers\u201d). <\/p>\n

You may subscribe to the Mota\u2011Engil 2030 Bonds and\/or exchange the Mota\u2011Engil 2026 Bonds between 8:30 a.m. on 7 May 2025 and 3:00 p.m. on 20 May 2025, through the Subscription Offer and\/or through the Exchange Offer, if you are a holder of Mota\u2011Engil 2026 Bonds.<\/p>\n

The Mota\u2011Engil 2030 Bonds are sustainability-linked, as Mota\u2011Engil commits to acting in a way that promotes the improvement of one key performance indicator (\u201cKPI\u201d) (percentage of local talent in management positions), with the aim of achieving a sustainability performance target (\u201cSPT\u201d) by 31 December 2028.<\/p>\n

In the Subscription Offer, the subscription price per Mota\u2011Engil 2030 Bond is \u20ac500, with a minimum investment of \u20ac2,500 (corresponding to 5 Mota\u2011Engil 2030 Bonds).<\/p>\n

In the Exchange Offer, the subscription is carried out by exchanging Mota\u2011Engil 2026 Bonds for Mota\u2011Engil 2030 Bonds, whereby each Mota\u2011Engil 2026 Bond (with a unit nominal value of \u20ac500) will be exchanged for 1 Mota\u2011Engil 2030 Bond (with a unit nominal value of \u20ac500) and a cash premium of \u20ac1.25, subject to taxes, fees, and other charges. Additionally, for the Mota\u2011Engil 2026 Bonds accepted for exchange, accrued interest from 2 December 2024, inclusive, until the Issue Date, exclusive, will be paid, amounting to \u20ac10.09375 per Mota\u2011Engil 2026 Bond, with payment subject to taxes, fees, and other charges. <\/p>\n

(the \u201cMota\u2011Engil\u201d or the \u201cIssuer\u201d) decided, on 14 May 2025, to increase the maximum number of bonds representing the bond loan named \u201cMota\u2011Engil 2025\u20112030 Sustainability-Linked Bonds\u201d (\u201cMota\u2011Engil 2030 Bonds\u201d) subject to the public subscription offer (\u201cSubscription Offer\u201d) and the public exchange offer (\u201cExchange Offer\u201d and, together with the Subscription Offer, the \u201cOffers\u201d), as referred to in the prospectus for the public offer and admission to trading on Euronext Lisbon, managed by Euronext Lisbon \u2013 Sociedade Gestora de Mercados Regulamentados, S.A., relating to the aforementioned bond loan, which was approved and published by the Portuguese Securities Market Commission (\u201cCMVM\u201d) on 2 May 2025 (the \u201cProspectus\u201d), to up to 190,000 bonds and, consequently, to increase the corresponding total nominal amount to up to \u20ac95,000,000.<\/small>
