Banco Finantia is one of the placing banks of the bond issue entitled Mota-Engil Sustainability-Linked Bonds 2021/2026 (“Mota-Engil Bonds 2026”), launched by Mota-Engil, in the amount of €75 million.
This transaction offers investors the opportunity to subscribe to Mota-Engil Bonds 2021/2026, with a unit nominal value of €500 and a fixed annual interest rate of 4.25%**, through the Public Subscription Offer (OPS) and/or, if they are holders of Mota-Engil Bonds 2022* and/or Mota-Engil Bonds 2023*, through the Public Exchange Offers (OPTs).
The OPS and OPTs period (the “Offers”) runs between November 15, 2021 and November 26, 2021.
Mota-Engil Bonds 2021/26 have a 5-year maturity, with each Mota-Engil Bond 2026, with a unit nominal value of €500, being repaid at its nominal value in two instalments: €250 on December 2, 2025 and €250 on December 2, 2026.
The Mota-Engil Bonds 2026 to be issued to meet subscription and/or exchange orders will have an initial aggregate nominal value of up to €75,000,000. This issue is organised by Banco Finantia, S.A., Caixa – Banco de Investimento, S.A., Haitong Bank, S.A. and Novo Banco, S.A., and the placing banks, in addition to Banco Finantia, are CaixaBI, Banco Best, Crédito Agrícola, ActivoBank, Banco Carregosa, BiG, Bankinter, CGD, Banco Eurobic, Millennium BCP and Novo Banco.
All will distribute the Mota-Engil Bonds 2021/26. Admission to trading on Euronext Lisbon is planned. The minimum investment amount is €2,500.

We hereby inform that the total amount of the “Mota-Engil Sustainability-Linked Bonds 2021–2026” issue (“Mota-Engil Bonds 2026”) was increased to up to €110 million by decision of Mota-Engil, and was approved by the CMVM through an addendum to the prospectus on November 23, 2021. This information does not dispense with the consultation of the prospectus, which should be read together with the addendum.
