Mota-Engil launches the “Mota-Engil Sustainability-Linked Bonds 2024/2029” bond issue, placed by Banco Finantia

Subscription announcement for Mota-Engil 2024–2029 bonds with an annual interest rate of 5%; minimum investment of €2,500; open until 11 October.

Issuance of Mota-Engil Sustainability-Linked Bonds 2024–2029 (“Mota-Engil 2029 Bonds”)

 

Mota-Engil, SGPS, S.A. (“Mota-Engil”) is carrying out an issuance of Mota-Engil 2029 Bonds, with a fixed annual interest rate of 5%*, a unit nominal value of €250, and an initial aggregate nominal amount of up to €50,000,000. This amount may be increased at Mota-Engil’s option up to and including 9 October 2024 (in which case an addendum to the prospectus, approved by the CMVM, will be published and made available at www.cmvm.pt, www.mota-engil.com, and other locations where the prospectus is available).
The issuance is being carried out through (i) a public subscription offer (“Subscription Offer”); and (ii) a public exchange offer addressed to holders of bonds representing the bond loan entitled “Mota-Engil 2019/2024 Bonds”, ISIN PTMENXOM0006 (“Mota-Engil 2024 Bonds”) (“Exchange Offer” and, together with the Subscription Offer, the “Offers”).

You may subscribe to the Mota-Engil 2029 Bonds and/or exchange the Mota-Engil 2024 Bonds between 8:30 a.m. on 30 September 2024 and 3:00 p.m. on 11 October 2024, through the Subscription Offer and/or the Exchange Offer, if you are a holder of Mota-Engil 2024 Bonds.

The Mota-Engil 2029 Bonds are sustainability-linked, as Mota-Engil has committed to act in a manner that promotes the improvement of one key performance indicator (“KPI”) — the percentage of local talent in management positions — with the aim of achieving a sustainability performance target (“SPT”) by reference to 31 December 2028.

In the Subscription Offer, the subscription price per Mota-Engil 2029 Bond is €250, with a minimum investment of €2,500 (corresponding to 10 Mota-Engil 2029 Bonds).

In the Exchange Offer, the subscription is carried out through the exchange of Mota-Engil 2024 Bonds for Mota-Engil 2029 Bonds, whereby for each Mota-Engil 2024 Bond (with a unit nominal value of €250), one Mota-Engil 2029 Bond (with a unit nominal value of €250) will be delivered as consideration. In addition, accrued interest will be paid in respect of the Mota-Engil 2024 Bonds accepted for exchange, calculated from 30 April 2024 (inclusive) up to, but excluding, the Issue Date, in the amount of €5.04340278 per Mota-Engil 2024 Bond. Such payment is subject to taxes, fees and other charges.

Please be advised that on 9 October 2024, Mota-Engil, SGPS, S.A. (“Mota-Engil” or the “Issuer”) decided to increase the maximum number of bonds representing the bond loan entitled “Mota-Engil Sustainability-Linked Bonds 2024–2029” (“Mota-Engil 2029 Bonds”) subject to the public subscription offer (the “Subscription Offer”), as referred to in the prospectus for the public offer and admission to trading on Euronext Lisbon, managed by Euronext Lisbon – Sociedade Gestora de Mercados Regulamentados, S.A., relating to the aforementioned bond loan.
The prospectus was approved and published by the Portuguese Securities Market Commission (Comissão do Mercado de Valores Mobiliários – “CMVM”) on 25 September 2024 (the “Prospectus”). As a result, the maximum number of bonds was increased to up to 320,000 bonds, and the corresponding aggregate nominal amount was increased to up to €80,000,000.
