Mota‑Engil launches bond issue “Mota‑Engil Bonds 2025‑2030” placed by Banco Finantia

Mota‑Engil 2025‑2030 Sustainability-Linked Bond Issue (“Mota‑Engil 2030 Bonds”)

 

Mota‑Engil, SGPS, S.A. (“Mota‑Engil”) is proceeding with the issuance of Mota‑Engil 2030 Bonds, with a fixed annual interest rate of 4.50%*, a unit nominal value of €500, and an initial total nominal amount of up to €50,000,000, which may be increased at Mota‑Engil’s option until 15 May 2025, inclusive, through the publication of an addendum to the prospectus approved by the CMVM and made available at www.cmvm.pt, www.mota-engil.com, and other locations where the prospectus is available. This is part of the launch of (i) a public subscription offer (“Subscription Offer”); and (ii) a public exchange offer directed at holders of bonds representing the bond loan named “Mota‑Engil 2021‑2026 Sustainability-Linked Bonds” with ISIN PTMENYOM0005 (“Mota‑Engil 2026 Bonds”) (“Exchange Offer” and, together with the Subscription Offer, the “Offers”).

You may subscribe to the Mota‑Engil 2030 Bonds and/or exchange the Mota‑Engil 2026 Bonds between 8:30 a.m. on 7 May 2025 and 3:00 p.m. on 20 May 2025, through the Subscription Offer and/or through the Exchange Offer, if you are a holder of Mota‑Engil 2026 Bonds.

The Mota‑Engil 2030 Bonds are sustainability-linked, as Mota‑Engil commits to acting in a way that promotes the improvement of one key performance indicator (“KPI”) (percentage of local talent in management positions), with the aim of achieving a sustainability performance target (“SPT”) by 31 December 2028.

In the Subscription Offer, the subscription price per Mota‑Engil 2030 Bond is €500, with a minimum investment of €2,500 (corresponding to 5 Mota‑Engil 2030 Bonds).

In the Exchange Offer, the subscription is carried out by exchanging Mota‑Engil 2026 Bonds for Mota‑Engil 2030 Bonds, whereby each Mota‑Engil 2026 Bond (with a unit nominal value of €500) will be exchanged for 1 Mota‑Engil 2030 Bond (with a unit nominal value of €500) and a cash premium of €1.25, subject to taxes, fees, and other charges. Additionally, for the Mota‑Engil 2026 Bonds accepted for exchange, accrued interest from 2 December 2024, inclusive, until the Issue Date, exclusive, will be paid, amounting to €10.09375 per Mota‑Engil 2026 Bond, with payment subject to taxes, fees, and other charges.

Notice is given that Mota‑Engil, SGPS, S.A. (the “Mota‑Engil” or the “Issuer”) decided, on 14 May 2025, to increase the maximum number of bonds representing the bond loan named “Mota‑Engil 2025‑2030 Sustainability-Linked Bonds” (“Mota‑Engil 2030 Bonds”) subject to the public subscription offer (“Subscription Offer”) and the public exchange offer (“Exchange Offer” and, together with the Subscription Offer, the “Offers”), as referred to in the prospectus for the public offer and admission to trading on Euronext Lisbon, managed by Euronext Lisbon – Sociedade Gestora de Mercados Regulamentados, S.A., relating to the aforementioned bond loan, which was approved and published by the Portuguese Securities Market Commission (“CMVM”) on 2 May 2025 (the “Prospectus”), to up to 190,000 bonds and, consequently, to increase the corresponding total nominal amount to up to €95,000,000.
